Welcome to Noctly. These Terms of Service govern your use of our AI-powered storytelling platform operated by Noctly Labs Pty Ltd, a company registered in Australia. By accessing or using our service, you agree to be bound by these terms.

Acceptance of Terms

By creating an account or using Noctly, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

Account Registration

To use certain features of Noctly, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account.

User Content & Ownership

You retain ownership of the content you create using Noctly. We respect your privacy and are committed to keeping your content secure.

• All content generated remains private to you and your designated family members by default
• You control who can access your content through our sharing features
• Content will only be made public (such as testimonials or featured stories) if you explicitly request it and it is approved by Noctly Support

AI-Generated Content

Noctly uses artificial intelligence to generate stories and content. While we strive to provide high-quality, family-friendly content, AI-generated content may occasionally produce unexpected results. You acknowledge that AI-generated content is created algorithmically and should be reviewed before sharing with children.

Prohibited Uses

You agree not to use Noctly for any unlawful purpose or in any way that could harm the service or other users. Prohibited activities include:

• Attempting to generate inappropriate or harmful content
• Sharing your account credentials with others
• Attempting to reverse engineer or exploit the service
• Using the service to infringe on others' intellectual property rights

Billing & Credits

Noctly operates on a subscription model with credit-based usage. By subscribing, you agree to the following billing terms:

• Subscriptions are billed monthly or yearly in advance. You can upgrade, downgrade, or cancel your plan at any time from the Pricing page or Billing settings.
• When you upgrade to a higher plan, you are charged a prorated amount immediately for the remainder of your billing period, and your credits are reset to the new plan's allocation. Credits are allocated once per billing period; additional upgrades within the same period will change your plan but not reset credits again.
• When you downgrade to a lower plan, your existing credits remain available until your next renewal date. At renewal, you are charged the lower rate and your credits reset to the new plan's allocation.
• Cancellations take effect at the end of your current billing period. You retain full access and credits until then.
• Credit top-ups are one-time purchases. Top-up credits are added as bonus credits and persist through monthly resets and plan changes.
• Gift subscriptions are one-time purchases that generate a redemption code. When redeemed, credits are applied to the recipient's account as bonus credits.
• Referral credits are awarded as bonus credits when a referred user makes their first payment. Bonus credits persist through monthly resets and plan changes.
• All purchases are final. Unused subscription credits do not carry over between billing periods. Bonus credits (from top-ups, gifts, or referrals) persist until used.

Termination

We reserve the right to suspend or terminate your account if you violate these terms or engage in any activity that we deem harmful to the service or other users. You may also delete your account at any time through your account settings.

Limitation of Liability

Noctly is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Noctly Labs Pty Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service.

Changes to Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by posting the new terms on our website and updating the "Last Updated" date. Your continued use of Noctly after such changes constitutes acceptance of the updated terms.

Governing Law

These Terms of Service are governed by the laws of Australia. Any disputes arising from these terms or your use of Noctly shall be subject to the exclusive jurisdiction of the courts of Australia.
